ReSure LLC will facilitate establishment of (1) an LLC or Trust to be owned by a Self-Directed IRA and (2) a Self-Directed IRA account to own such LLC or Trust, thereby providing you with an efficient method investing in alternative assets through an IRA-LLC or IRA-Trust structure.

By checking this box you authorize ReSure LLC to collect the fees due for Express Checkbook IRA services, including applicable recurring payments. Either party may cancel service at any time, for any reason. Subsequent billings to your card will be halted after cancellation. Fees paid prior to requesting cancellation from ReSure are non-refundable; in the event you no longer desire Solera's custody services it is your responsibility to request cancellation from ReSure prior to any impending billing. ReSure does not and will not monitor the status of your account(s) with Solera.

As part of the establishment of an entity to be owned by your IRA, ReSure may also facilitate registered agent services for such entity via Registered Agents Inc (registeredagentsinc.com). ReSure itself does not act as a registered agent or provide registered agent services. You are free to change the registered agent of the entity at any time or establish a relationship with Registered Agents Inc independent of ReSure. Should you not change the registered agent of the entity or establish an independent relationship with Registered Agents Inc, ReSure may invoice the entity for registered agent services and, in turn, pay Registered Agents Inc. If such invoicing is not provided ReSure or if provided by ReSure and not paid, documents received by Registered Agents Inc may be inaccessible.

By signing below, you represent and warrant that you have provided, and will provide, ReSure LLC, its management, its representatives, and related persons ("ReSure") complete and accurate information and that ReSure may rely upon such information or any direction you may give to ReSure. You acknowledge and agree that ReSure shall have no duty to monitor your actions regard to your retirement account(s).

You acknowledge and agree to the following: ReSure is not acting as investment advisor, plan administrator, trustee, account custodian, or fiduciary to your retirement account(s). You will be entering into a direct relationship with Solera for IRA custody and LLC banking services; ReSure is not a party to those relationships. ReSure's role is limited to facilitating payment for such IRA custody services in accordance with Solera's and your direction. You hereby agree to indemnify and hold harmless ReSure, it's officers, employees, and any other of its representatives from any and all claims, injuries, damages, losses or suits including attorney fees arising out of or resulting from the acts, errors or omissions of Solera. ReSure has not performed legal or financial due diligence on Solera National Bank ("Solera") and has advised you of that. ReSure has further advised you that you should perform appropriate due diligence prior to entrusting your funds to Solera.

Any information provided by ReSure is not intended to be a substitute for advice from your accountant, attorney, or tax advisor. You should consult an independent tax advisor, lawyer, financial advisor, and/or certified public accountant before engaging in any transaction. ReSure does not make any determination as to whether an investment is acceptable under ERISA, the Internal Revenue Code, or any other applicable federal, state or local laws, including securities laws. You acknowledge and agree that it is your responsibility to review any IRA investments to ensure compliance with any requirements of the foregoing and to avoid the occurrence of any prohibited transactions for IRAs under Section 4975.

The information presented on or through ReSure's website, via any portal or via email correspondence, is made available solely for general information purposes. ReSure does not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. ReSure disclaims all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the website, or by anyone who may be informed of any of its contents.

Furthermore, you agree to protect, defend, indemnify and hold us harmless from and against any and all claims, causes of action, liabilities, judgments, penalties, losses, costs, damages and expenses (including attorneys’ fees and all related costs and expenses for litigation and/or arbitration) suffered or incurred by us, including, without limitation, any claim arising from: any actual or alleged breach of your obligations under these terms; your wrongful or improper use of ReSure's services; your violation of any third-party right, including without limitation any right of privacy, publicity rights or Intellectual Property Rights; your violation of any law, rule or regulation of the United States or any other country; any copyright infringement claims that may arise from us scanning legal documents or other mail on your behalf; the failure of any third party, including but not limited to the United States Postal Service, Registered Agents Inc, or any commercial delivery or courier service, to provide delivery or courier services accurately and on time; any loss, damage or destruction of your legal documents by any cause whatsoever; ReSure being named as a defendant in an action based on services provided; any claims or action brought against us relating to your failure to maintain updated information with ReSure (e.g., updated email address, phone number, and/or mailing address).

It is agreed that ReSure’s responsibility for damages, or claims of damage, arising from any form of action other than gross negligence, shall not exceed the total amount paid for the services invoiced. This shall be the exclusive remedy for such causes of action. You agree that any action or proceeding by you relating to any dispute must commence within one year after the alleged cause of action accrues. Any dispute related to services provided shall be settled by arbitration in Kings County, New York according to the rules of the American Arbitration Association. Arbitration is final and binding on the parties. The parties are waiving their rights to seek remedies in court, including the right to a jury trial. The laws and jurisdiction of the State of New York shall govern any and all matters related to this agreement.

Any part, provision, representation or warranty of these Terms & Acknowledgements which is prohibited or which is held to be void or unenforceable shall be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof. ReSure's failure to enforce a provision of these Terms is not a waiver of its right to do so at a later date.
